Who We Are
AIC Energy Corp is developing a global energy platform focused on structured LNG trade, strategic capital, shipping coordination, Asia market distribution, and ring-fenced renewable fuels development. The company is incorporated in the Abu Dhabi Global Market (ADGM), a common-law international financial centre with independent regulatory oversight and English-law contract enforcement.
AIC is designed to operate at the intersection of energy supply, structured capital, maritime logistics, and regional demand. The platform is not a single-entity trading operation — it is a multi-jurisdictional structure with distinct legal entities performing defined commercial, treasury, execution, and logistics functions across ADGM, Hong Kong, the United States, and Asia.
The company operates as AIC Energy Corp in its commercial and external-facing activities, and as AIC Energy Corp Ltd. in its legal, governance, and capital markets context. Both names refer to the same platform and the same governance structure anchored in ADGM.
What We Are Building
AIC is building a structured energy trading and distribution platform designed to connect U.S. LNG supply with Asia market demand. The platform is being developed around six core entities: a holding company in ADGM, a trading company in Hong Kong, a supply origination company in the United States, a shipping special purpose vehicle, AIC-affiliated Asia distribution companies, and a ring-fenced domestic oil and gas exploration vertical.
Each entity in the platform is designed to perform a specific function: the ADGM holding company provides governance, treasury, and capital oversight; the Hong Kong trading company manages purchase contracts, offtake arrangements, and trade finance facilities; the U.S. entity originates FOB supply from Gulf Coast LNG export terminals; the shipping SPV coordinates vessel chartering and cargo logistics; and the Asia companies are intended to support regional offtake origination and distribution.
The platform is being built to institutional standards — designed to meet the compliance, documentation, and governance requirements of trade finance banks, infrastructure investors, and sophisticated energy counterparties. AIC does not represent that all platform entities are fully operational or that all commercial arrangements have been confirmed.
Global Platform Strategy
AIC's platform strategy is built on three structural pillars: supply access, capital discipline, and market reach. Supply access is developed through planned engagement with U.S. LNG export terminal operators and FOB supply aggregators. Capital discipline is maintained through the ADGM governance framework, trading authority limits, and cash waterfall controls. Market reach is developed through the Hong Kong trading hub and AIC-affiliated Asia companies targeting utilities, industrial buyers, and city gas distributors across Japan, Korea, Taiwan, and Southeast Asia.
The platform is designed to operate across the full LNG trade cycle: demand aggregation in Asia, supply procurement in the United States, cargo financing through trade finance banks, shipping coordination through the SPV, and DES delivery to Asia regas terminals. This end-to-end capability is the strategic objective of the platform — not a current operational reality.
AIC's global platform strategy is informed by the structural dynamics of the LNG market: the long-term growth of Asia gas demand, the abundance of U.S. LNG export capacity, the availability of trade finance for commodity-backed transactions, and the commercial opportunity created by the spread between U.S. Henry Hub pricing and Asia JKM spot pricing.
Governance and Capital Discipline
AIC's governance framework is anchored in the ADGM holding company. The board of AIC Energy Corp Ltd. is responsible for: approving counterparties above defined thresholds; setting trading authority limits for the Hong Kong trading company; overseeing treasury management and cash waterfall controls; and ensuring group-level compliance with sanctions, AML, and anti-bribery requirements.
Capital discipline is a core operating principle of the AIC platform. The platform is designed to ensure that lender obligations are satisfied before any distribution to equity, that reserve accounts are funded before discretionary spending, and that all material commercial decisions are made within the authority limits approved by the board. The LNG Trading Committee is the internal governance body responsible for approving each cargo transaction and reviewing risk exposures.
AIC's governance framework is designed to meet the standards required by institutional trade finance lenders, infrastructure investors, and capital market participants. The platform's entity structure, authority limits, compliance policies, and reporting framework are intended to provide the transparency and control that sophisticated counterparties require.
Energy Market Focus
AIC's primary energy market focus is LNG — specifically the trade corridor between U.S. Gulf Coast export terminals and Asia-Pacific import markets. This corridor is one of the most commercially significant in the global LNG market, driven by the structural growth of Asia gas demand, the competitive pricing of U.S. LNG on a Henry Hub-linked basis, and the availability of flexible, non-destination-restricted supply from U.S. export projects.
AIC's secondary energy market focus is domestic oil and gas exploration — specifically the Crow Cession and broader western United States basins. The domestic exploration vertical is designed as a long-term, forward-looking business unit that is ring-fenced from the LNG trading platform. It is not a near-term revenue driver — it is a strategic positioning exercise designed to ensure that AIC has a credible, technically grounded presence in upstream U.S. hydrocarbon resource development.
AIC does not currently operate in renewable fuels, coal, power, or other energy commodities. The platform's commercial focus is intentionally narrow — LNG and domestic oil and gas exploration — to ensure that the governance framework, compliance infrastructure, and capital relationships are developed to the depth required for institutional-grade operations in each market.
Commitment to Compliance
Compliance is a foundational operating principle of the AIC platform, not a regulatory obligation to be managed. AIC's compliance framework covers: KYC and KYB for all counterparties; sanctions screening against OFAC, UN, EU, and UK lists; vessel diligence including flag state, ownership, and trading history; U.S. LNG export authorization requirements; trade finance controls; and anti-bribery and AML policies consistent with the ADGM regulatory framework.
AIC's compliance framework is designed to meet the standards required by U.S. LNG export terminal operators, trade finance banks, and institutional investors. The platform maintains a compliance function that is independent of the commercial trading function, with reporting lines to the board of AIC Energy Corp Ltd.
AIC's domestic oil and gas exploration vertical maintains a separate compliance ring-fence from the LNG trading platform. Exploration project entities are not party to LNG trading contracts, trade finance facilities, or shipping arrangements. Cross-vertical compliance matters require explicit board approval and are documented in accordance with the platform's governance framework.
Long-Term Vision
AIC's long-term vision is to operate as a multi-commodity, multi-decade energy platform serving the evolving energy needs of Asia-Pacific markets and U.S. domestic resource development. In the near term, that means structured LNG trade — connecting U.S. supply with Asia demand through a governance-first platform designed for institutional counterparties. In the medium term, it means scaling the LNG platform while developing the domestic oil and gas exploration vertical toward commercial production. In the long term, it means participating in the full energy supply chain of the Asia-Pacific region and the western United States.
AIC is designed to be a durable platform — not a single-transaction intermediary. The governance structure, entity design, compliance framework, and capital relationships are all built for longevity. The platform is intended to grow with the market, adapt to regulatory change, and maintain the institutional standards required by its counterparties across multiple market cycles.
